Chris is a partner and co-founder of Catalyst. His practice focuses on representing high-growth companies, venture capital, private equity and angel investors, and entrepreneurs. Chris represents clients in a variety of corporate and finance transactions and matters, including:

  • Corporate governance

Prior to co-founding Catalyst, Chris was a corporate attorney in the Boston and Colorado offices of Cooley LLP. There his practice focused on representing venture capital and private equity firms and emerging growth companies. Chris is a graduate of UCLA and Boston University School of Law.

Matthew Hyde

Partner & Co-Founder


Matt is a partner and co-founder of Catalyst. His practice focuses on representing emerging growth companies and angel, venture capital and growth equity investors in various transactions and matters, including:

  • Equity and convertible securities financings
  • Strategic investments
  • Mergers and acquisitions
  • Entity formation and startup strategy
  • Corporate governance and fiduciary guidance
  • Recapitalizations
  • Divestitures

Prior to co-founding Catalyst, Matt was a corporate attorney at Cooley LLP and two other international law firms. Before his law career, Matt served as a helicopter pilot in the U.S. Navy based in San Diego, CA. Matt is a graduate of the United States Naval Academy and UCLA School of Law.

Chuck Schwab

Partner


Chuck is a partner at Catalyst. His practice focuses on intellectual property, commercial transactions, and technology law advice. Chuck advises startup and large public companies across a range of transactions and counseling matters, including:

  • Patent, software, and technology licenses
  • SaaS agreements
  • Hardware and software distribution, VAR, OEM, and development agreements
  • Compliance counseling, transaction implications, and privacy policies
  • Data security and privacy
  • Mass market, data sharing, manufacturing and logistics agreements
  • Outsourcing and strategic and joint venture arrangements
  • Commercial dispute settlements

Chuck has extensive experience working in social networking, advertising, digital media, payment systems, clean and educational technology, AI and machine learning, robotics, and consumer products. He is regularly identified as a “Highly Recommended Patent and Technology Licensing Attorney” by IAM Patent 1000.

Prior to joining Catalyst, Chuck was a Special Counsel in the Technology Transactions Group in the Palo Alto and Colorado offices of Cooley LLP. Chuck is a graduate of Northwestern University and the University of Illinois College of Law.

Andrew Marchant

Attorney


Andy represents startups, emerging growth companies, entrepreneurs, angel investors and venture capital firms. Andy counsels clients on a variety of transactions, including equity and convertible securities financings, strategic investments, mergers and acquisitions, divestitures and entity formations. He also advises on general corporate matters, including corporate governance, equity compensation, employment, and securities regulations compliance.

Prior to joining Catalyst, Andy was a Fellow at the Silicon Flatirons Center for Law, Technology and Entrepreneurship in Boulder, Colorado. Andy is a graduate of James Madison University College of Business and the University of Colorado Law School.

Cybelle Simoneau

Senior Paralegal & Transaction Specialist


Cybelle is a member of Catalyst’s corporate and transaction team and brings more than 20 years of experience as a transactional paralegal at large Silicon Valley law firms, venture capital firms, accelerators and startups. Cybelle regularly assists with equity and convertible securities financings, mergers and acquisitions, securities laws compliance and filings, corporate formation and maintenance, and capitalization matters.

Prior to joining Catalyst, Cybelle most recently was a member of the legal team at Techstars and a Senior Paralegal at Cooley LLP.

Cybelle is a graduate of the University of Colorado Boulder.

Kelsey Velemirovich

Attorney


Kelsey’s practice focuses on intellectual property counseling and technology-based transactions for emerging growth and public companies, including software/SaaS license agreements, inbound and outbound technology licenses, channel partner agreements, joint venture and development agreements, and privacy and data security matters. Kelsey has extensive experience advising clients on legal issues in the areas of AI and machine learning, wearable devices, open source, medical technology, digital media, and entertainment.

Prior to joining Catalyst, Kelsey was an attorney in the Technology Transactions Group at Cooley LLP.  Kelsey graduated from Clemson University with a degree in Financial Management before earning her JD from the University of Colorado Law School.

Colin represents emerging growth companies and investors in corporate transactions through all lifecycle stages. His practice focuses on venture capital financings, mergers and acquisitions, corporate formations and structuring and general corporate counseling.

Prior to joining Catalyst, Colin was a corporate and securities attorney at a prominent Denver-based law firm. Colin graduated from the University of Colorado, Boulder with a B.A. in Environmental Science before earning his JD from the University of Colorado Law School.
